Terms of Service

These Terms of Service ("Terms") govern your use of the Verba application ("App") developed by Sota Mikami ("Developer"). By using Verba, you agree to these Terms.
1. License Grant
Upon purchase, the Developer grants you a personal, non-exclusive, non-transferable license to use Verba on up to 3 (three) Mac computers per license key. This license is for your individual use only and may not be shared, sublicensed, or assigned to others.
2. Trial Period
Verba offers a 48-hour free trial with full functionality. No credit card is required. After the trial expires, a valid license key is required to continue using the pre-built application.
3. Payment
Verba is available as a one-time purchase of ¥5,800 (tax included) via LemonSqueezy. This is a lifetime license with no recurring fees. Payment processing is handled entirely by LemonSqueezy; the Developer does not store your payment information.
4. Open Source
Verba's source code is publicly available under the MIT License at github.com/Sota-Mikami/Verba. You are free to build the application from source and use it at no cost. The paid license covers the convenience of pre-built binaries, automatic updates via Sparkle, and priority support.
5. Restrictions
You may not redistribute, sell, or share your license key with others. You may not attempt to circumvent, disable, or tamper with the licensing mechanism in the pre-built binary. Violation of these restrictions may result in revocation of your license.
6. Privacy
Verba processes all voice data entirely on your device. No audio or transcription data is sent to external servers. For full details, please see our Privacy Policy.
7. Warranty Disclaimer
Verba is provided "AS IS" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. The Developer does not warrant that the App will be error-free or uninterrupted.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the App. The Developer's total liability shall not exceed the amount you paid for the license.
9. Termination
The Developer may revoke your license if you violate these Terms, including but not limited to redistributing license keys or circumventing the licensing system. Upon termination, you must cease using the pre-built application. Your rights under the MIT License to build from source remain unaffected.
10. Changes to Terms
The Developer may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of Verba after changes constitutes acceptance of the revised Terms.

12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Japan.
